1. Acceptance of Terms

By accessing and using the NDS DVB Factory website (www.ndsdvb.com) and engaging in business transactions with us, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

These terms apply to all visitors, users, customers, and others who access or use our website, request quotes, place orders, or enter into business relationships with NDS DVB Factory.

2. Products and Services

NDS DVB Factory is a professional manufacturer of digital TV headend equipment, including but not limited to:

• HDMI / SDI / ASI / IP Encoders (H.264, H.265)
• DVB-T / DVB-T2 / ISDB-T / ATSC / DTMB / QAM Modulators
• Integrated Encoder Modulators (all-in-one headend devices)
• IP Gateways (ASI-to-IP, IP-to-ASI, TSoIP)
• IRD / Decoders / Transcoders
• TS Multiplexers and Scramblers
• RF Transmitters and Receivers (VHF/UHF)
• Headend Processors and complete turnkey solutions

3. Orders and Pricing

3.1 Factory Direct Pricing

As a direct manufacturer, NDS DVB Factory offers factory-direct pricing. Prices quoted are typically in USD (United States Dollars) and are Ex-Works (EXW) Chengdu, China unless otherwise specified. Prices do not include shipping, insurance, customs duties, VAT, or other applicable taxes and fees, which are the responsibility of the buyer.

3.2 Payment Terms

Our standard payment terms are as follows:

• T/T (Telegraphic Transfer / Wire Transfer): Our primary accepted payment method. Standard terms are 50% deposit upon order confirmation, with the remaining 50% balance due before shipment. Custom payment schedules may be arranged for large-volume or ongoing orders.
• Payment Currencies: We accept payments in USD, EUR, and RMB. All bank transfer fees are the responsibility of the buyer.
• Proforma Invoice (PI): A PI will be issued upon order confirmation detailing product specifications, quantities, unit prices, total amount, payment terms, and estimated delivery timeline.

3.3 Minimum Order Quantity (MOQ)

Certain products may have a Minimum Order Quantity (MOQ). The specific MOQ will be communicated during the quotation process. For sample orders and evaluation units, we may accommodate quantities below standard MOQ at our discretion. Please discuss your requirements with our sales team.

3.4 Order Confirmation

An order is considered confirmed only when: (a) we receive the agreed deposit payment, and (b) we issue a written Order Confirmation. Until both conditions are met, pricing and availability are subject to change. We reserve the right to refuse or cancel any order at our sole discretion.

4. Shipping and Delivery

4.1 Shipping Terms (Incoterms)

NDS DVB Factory ships globally with the following shipping terms:

• EXW (Ex Works) — Chengdu, China: Default shipping term. The buyer assumes all costs and risks from our factory premises onward, including local transportation to port/airport, export clearance, freight, insurance, and import clearance at destination.
• FOB (Free On Board) — Shanghai / Shenzhen / Guangzhou: We deliver goods to the named port of shipment and handle export clearance. The buyer assumes risk and cost once goods are loaded onto the vessel. Freight and insurance from that point are the buyer's responsibility.
• CIF (Cost, Insurance, Freight): We cover the cost of goods, insurance, and freight to the named destination port. The buyer handles import clearance and any onward transportation. Available upon request for most destinations.

4.2 Shipping Methods

• Air Freight (DHL, FedEx, UPS, TNT): Recommended for sample orders and small quantities. Delivery typically within 5–10 business days worldwide.
• Sea Freight: Recommended for bulk orders. Economical for large shipments. Transit time varies by destination (typically 15–40 days).
• Rail Freight: Available for shipments to Europe and Central Asia. Competitive transit times and cost compared to sea freight.

4.3 Delivery Timeline

Our standard production lead time is 7–15 business days after order confirmation and deposit receipt, depending on order quantity and product configuration. Large-volume or custom-configured orders may have extended lead times, which will be communicated during the quotation process.

4.4 Risk of Loss

Risk of loss and title pass to the buyer according to the agreed Incoterms. We recommend that buyers purchase comprehensive shipping insurance. NDS DVB Factory is not liable for delays, damage, or loss caused by carriers, customs clearance, force majeure events, or other circumstances beyond our reasonable control.

5. Two-Year Warranty

5.1 Warranty Coverage

NDS DVB Factory provides a 2-year limited warranty on all manufactured products from the date of shipment. This warranty covers defects in materials and workmanship under normal use and service conditions.

5.2 Warranty Service

During the warranty period, NDS DVB Factory will, at its option:

• Repair the defective product at no charge using new or refurbished parts.
• Replace the defective product with an equivalent new or refurbished product.
• Provide remote technical support and troubleshooting assistance.

5.3 Warranty Exclusions

This warranty does not cover:

• Damage resulting from improper installation, misuse, abuse, accident, or unauthorized modification.
• Damage caused by power surges, lightning strikes, water exposure, extreme temperatures, or other environmental factors beyond product specifications.
• Consumable components such as fans, cables, connectors, and fuses.
• Cosmetic damage that does not affect product functionality.
• Products with serial numbers that have been removed, altered, or rendered illegible.
• Software issues not attributable to manufacturing defects.

5.4 Warranty Process

To initiate a warranty claim, contact our support team at sales@ndsdvb.com with your order number, product model, serial number, and a detailed description of the issue. Return shipping for warranty service is at the buyer's expense; replacement or repaired items will be shipped back at our expense.

6. Intellectual Property

All content, trademarks, logos, product designs, software, documentation, and materials on the NDS DVB Factory website and in our products are the exclusive intellectual property of NDS DVB Factory or its licensors, protected by applicable copyright, trademark, and other intellectual property laws of the People's Republic of China and international treaties.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our website or products without prior written permission from NDS DVB Factory.

The "NDS DVB Factory" name, the NDS logo, and all related product names and marks are trademarks of NDS DVB Factory. Unauthorized use of these trademarks is strictly prohibited.

7. Limitation of Liability

To the fullest extent permitted by applicable law, NDS DVB Factory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to:

• Your use of or inability to use our website, products, or services.
• Any errors, omissions, or inaccuracies in product information or website content.
• Unauthorized access to or use of our systems or your personal information.
• Any interruption or cessation of transmission to or from our website.
• Any bugs, viruses, or other harmful code transmitted through our website by third parties.

Our maximum aggregate liability for any claim arising from these terms or your use of our products and services shall not exceed the total amount paid by you to NDS DVB Factory for the specific products or services giving rise to the claim.

8. Governing Law and Dispute Resolution

8.1 Governing Law

These Terms of Service and all business transactions with NDS DVB Factory shall be governed by and construed in accordance with the laws of the People's Republic of China (PRC), without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

8.2 Jurisdiction

Any dispute, controversy, or claim arising out of or relating to these terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through friendly negotiation. If negotiation fails within thirty (30) days, either party may submit the dispute to litigation in the competent court with jurisdiction over Chengdu, Sichuan Province, PRC, where NDS DVB Factory is domiciled.

8.3 Alternative Dispute Resolution

Both parties may mutually agree to submit disputes to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Chengdu, in accordance with its then-current arbitration rules. The arbitration shall be conducted in English or Chinese, as mutually agreed.
